Tender offer for the purchase through investment intermediary Ug Market EAD of shares of the capital of "ARCO TOWERS" REIT from the remaining shareholders Parameters of the tender offer Based on Art. 154, para. 1 of the Public Offering of Securities Act (POSA) and Art. 36 of Regulation No. 13 of 22.12.2003 on tender offer for purchase and exchange of shares (Regulation No. 13), we inform you that at its meeting of 21.11.2025, the Financial Supervision Commission decided not to issue a final ban on the publication of a tender offer by “UNIQUE INVESTMENT” EAD, with UIC 175263016, with registered office and registered address: Sofia, Lozenets district, 4 Konstantin Petkanov Str., represented by Milka Nikolova Byanova for the purchase through investment intermediary Yug Market EAD of 358,317 shares of the capital of “ARCO TOWERS” REIT, from the remaining shareholders. With this Tender Offer “UNIQUE INVESTMENT” EAD fulfills its obligation under Art. 149, para. 1 of the POSA to make a tender offer to purchase the shares of the remaining shareholders of "ARCO TOWERS" REIT. The tender offeror offers to purchase the shares of the remaining shareholders in "ARCO TOWERS" REIT at a price per share of 107 (one hundred and seven) leva. The tender offeror declares that it does not own and wishes to acquire 358,317 ordinary, dematerialized, registered, freely transferable shares, representing 52.5% of the votes in the General Meeting of "ARCO TOWERS" REIT. The deadline for accepting the tender offer is 28 (twenty-eight) days from the date of publication of the tender offer through the website www.investor.bg, which is an internet media offered by Investor.BG AD. When submitting the declaration of intent to accept the Tender Offer, the shareholders deposit with the selected investment intermediary the certification documents for the shares held. Depository receipts and all other legally recognized certification documents will be accepted as certification documents. The acceptance of the offer may be withdrawn by submitting an explicit written declaration of intent to withdraw the acceptance (according to a template). The written declarations of intent are submitted to the offices of the investment intermediary in which the shareholder has made a declaration of intent to accept, and the investment intermediary in turn immediately provides the declaration of intent to withdraw to "Ug Market" EAD. The return of the deposited certification documents is made upon presentation of an identity document, a certificate of current court registration - for legal entities, as well as a notarized express power of attorney - for proxies. The return of the documents is not limited by a term. Term for payment of the price by the offeror The payment of the price is made within 7 (seven) business days after the conclusion of the transaction. The transaction for the acquisition of shares of the Company as a result of the acceptance of the tender offer is considered concluded at the time of expiration of the term for its acceptance, respectively the term extended by the offeror under Art. 155, para. 4 of the Public Offering of Securities Act (if any) or in the case of a competitive tender offer (if any) - of the respectively extended term of all tender offers with the latest expiring term among them (according to Art. 21, para. 2 and 3 of Ordinance No. 13), and if by that time the shareholder who accepted the tender offer has not submitted a written application for its withdrawal. "Arco Towers" REIT, Sofia, as an Investor, concluded a construction contract with "Electrisity" EOOD, for STAGE 1.2 of a Complex of multi-family residential buildings with facilities for public services, underground parking, substations, water tanks, which includes the construction of 2 pcs. multi-family residential buildings: BUILDING E with a planned surface area of 11,435m2, according to RS No. 150/21.06.2023, BUILDING G with a planned surface area of 12,524.51m2, according to RS No. 152/21.06.2023 and included in the same basement part with a planned area of 17,936.32 m2. The complex will be built on the Company's own PI with CI 68134.512.151; part of UPI V-1017,1018 for office-administration, trade, hospitality and housing, located in the city of Sofia, "Skopje" street #3. The construction contract has an expected duration of 36 months.

The contract will enter into force after the issuance of a Permit for construction of the sites subject to construction. On June 8, 2022, Arco Towers REIT, as a seller, concluded a preliminary contract for the sale of the entire building B of the Central Park Complex with Electricity EOOD, in its capacity as a buyer. The contract will enter into force after the entry into force of the Building Permit.

ARCO TOWERS REIT WITH A NEW SERVICE COMPANY
By Decision № 826 - FVC from 07.12.2016 the Financial Supervision Commission approved the replacement of the servicing company of Arco Towers REIT. As of 07.12.2016, a servicing company within the meaning of Article 18 of the Special Investment Purpose Vehicles Act is Configarma AD, UIC 131200320, Sofia. Konfarma AD is a joint-stock company incorporated in 2004. The Company is an accounting enterprise within the meaning of § 1 item 27 of the Accountancy Act and since its establishment it is specialized in the activities of: construction of residential, public, industrial buildings, reconstruction and rehabilitation of existing buildings, engineering related to construction, investment in real estate, including preparation and consultancy in the financing of investment projects; project management relating to the acquisition, construction, improvement of real estate, real estate management. The activities of the servicing company were assigned to him by the Service Agreement of 14.10.2016.
ARCO TOWERS AND INVESTOR.BG AD WITH INFORMATION FOR DISCLOSURE
A contract for the disclosure of information to the public within the meaning of Regulation N2 of 17.09.2013 of the FSC has been signed by Arco Towers and Investor.BG AD. According to the contract, Investor.BG AD, in its capacity as a financial information media, provides Arco Towers ADSIC with the opportunity to publish information on the website www.investor.bg in the sense of Art. 27, para 1 of Ordinance No. 2 of FSC. Thus Arco Towers announces periodic information; internal information according to Art. 4 of the Law Against Market Abuse with Financial Instruments; other regulated information within the meaning of the Law on the Public Offering of Securities (POSA), etc. By introducing an encrypted Internet channel, Investor.BG AD provides for the automatic electronic transmission of the information to the Financial Supervision Commission, published under para 1.
ARCO TOWERS REIT CONCLUDES RENTAL AGREEMENT
On 30.11.2015, Arco Towers REIT, Sofia, in the capacity of landlord, entered into a lease with "Quadra" AD, Sofia, in the capacity of tenant. The subject of the lease is an immovable property consisting of a regulated plot of land V1017, 1018, square 50 according to the plan of Sofia, GGZ - Zone B17 - owned by Arco Towers REIT, Sofia. The term of the contract is 2 months as of 01.01.2016.

2009-11-16 - "ARCO TOWERS REIT" INCREASES CAPITAL WITH 32,500 New Shares
On 18.09.2009, the Board of Directors of ARCO TOWERS REIT decided to increase the capital of the Company from BGN 650,000 to BGN 682,500 through the issuance of 32,500 new shares with a par value of BGN 1 each. The increase procedure was successfully completed after all 32,500 newly issued shares were subscribed and paid. The capital increase was entered in the Commercial Register at the Registry Agency on 13 November 2009. In this respect the Commercial Register also included an amendment to the Articles of Association of the Company in respect of the amount of capital.
On April 18, 2008 ARCO TOWERS REIT, Sofia entered into a contract for the award of project management with Gardner & Theobald EOOD, Sofia. The contract was concluded in connection with the realization of the investment project "Arco Towers".
2008-04-05 - ARCO TOWERS REIT CLOSE WITH NEGOTIATIONS ABOUT THE INVESTMENT PROJECT
On 04.04.2008 the negotiations, led by ARCO TOWERS REIT, were concluded, in connection with the awarding of project development plans for the realization of the investment project planned by the company. As a result of the negotiations, four contracts were awarded for the preparation of the individual phases of the investment project in accordance with the requirements of the Spatial Planning Act, as follows: Gensler, Ove Arup & Partners, Emil Krumov & Co EOOD, Sofia, and "Sector ARCH" Ltd., Sofia. It is expected that the design process will be completed by the end of the third quarter of 2008.
At its meeting on April 11, 2007, the FSC decided to issue a license to ARCO TOWERS REIT to carry out activity as a special purpose vehicle. The Commission has confirmed a prospectus for the public offering of 150,000 ordinary voting shares, each with a par value of BGN 1, as a result of an initial increase in the Company's capital. The Company will invest in real estate funds raised through the issue of securities.
